What is a Memorandum of Association?

The Memorandum of Association is an important business document. It is a legal statement that is signed by all of the shareholders and guarantors who are forming a company together. It is essentially a way of showing that all of the people forming the company, agree to its formation.

It is a requirement for anyone who plans on setting up and registering a limited company in the UK. 

It is often accompanied with Articles of Association, as both are needed to set up a company.

How do I get a Memorandum of Association?

There are two different ways to get a Memorandum of Association.

If you register your company online, then a Memorandum of Association will be automatically created when you finish registering your company.

However, if you are registering your company through the post by completing a form, then you will have to make your own. There are templates that you can use online from the Government’s website.

Why you need a Notary Public

If you plan on expanding your company’s operation abroad, some countries may require that you provide a Memorandum of Association. As a result, you will need to get it notarised so it is accepted as a verified document. 

You will also need to get an apostille, or go through embassy and consular legalisation if you plan on using your Memorandum of Association abroad. The process you need to use depends on what country you plan on going to.
